Reservation of Right to Terminate Participation

We reserve the right to modify or terminate participation and access to services provided upon violation of any of the terms and conditions for service, at any time and without liability incurred.

Upon termination, all licenses and other rights granted by virtue of your agreement to the terms of service shall cease immediately.

Participants or contestants may also waive their right to contest by providing the company with written notice of at least 24 hours, during which the participant shall continue to be bound by the terms and conditions of the agreement. Where upon expiration of the notice period, the participant’s right to contest shall be deemed terminated, and they shall no longer be entitled to access the services.

Participation and Eligibility

Eligibility: Contesting and participation in programs created by Trendsville Productions Limited is open to individuals who share our mission and values. Must be 18 years or above to participate or contest.

Participation: All Participants and contestants must be actively involved in creative activities and/or collaborations.

Code of Conduct: Participants must adhere to our Code of Conduct, which includes strict observation of the conditions of membership contained in this agreement.

Confidentiality Clause

The Customer acknowledges that in the course of receiving the Services, they may be exposed to confidential and proprietary information of the Company, including but not limited to business strategies, customer/member lists, and trade secrets.

The Customer agrees to:

• Keep the Confidential Information strictly confidential and not disclose it to any third party without the Company's prior written consent.
• Use the Confidential Information solely for the purpose of receiving the Services.
• Not copy, reproduce, or summarize the Confidential Information except as necessary for the purpose of receiving the Services.
• Return all Confidential Information to the Company upon request or upon termination of this Agreement.

The Customer understands that any breach of this confidentiality obligation thereby causing irreparable harm to the Company will result in immediate termination of membership, content, or participation. This confidentiality obligation shall survive the termination of this Agreement and continue for a period of five years thereafter.

Illegal Use of Platform

Acceptable use of platform: The Customer agrees to use the Platform only for its intended purpose and in compliance with all applicable laws, regulations, and industry standards.

Prohibited Activities: The Customer shall not:

• Use the Platform for any unlawful, fraudulent, or malicious purpose such as farming for engagements.
• Interfere with or disrupt the operation of the Platform.
• Attempt to gain unauthorized access to the Platform or its related systems.
• Use the Platform to transmit or store any malicious or harmful code.
• Use the Platform to infringe the intellectual property rights of others.
• Use the Platform to harass, abuse, or intimidate others.

Content Responsibility: Except otherwise agreed upon, the Customer is solely responsible for all content uploaded, transmitted, or stored through the Platform.

Monitoring and Enforcement: The Company reserves the right to monitor the Customer's use of the Platform and to enforce this Agreement, including suspending or terminating the Customer's access for any breach.

Non-Discrimination and Anti-Harassment Policy

The Company is committed to maintaining a safe and respectful environment for all customers, employees, and third-party providers. Harassment, discrimination, or any form of abusive behavior towards others based on their race, color, religion, sex, national origin, age, disability, genetic information, or any other protected characteristic will not be tolerated.

Customers and employees are expected to treat each other with respect and dignity. Any form of harassment or discrimination, including but not limited to:

• Verbal or written abuse
• Physical intimidation or violence
• Unwelcome sexual advances or conduct
• Discrimination based on protected characteristics

Any of the aforementioned acts may result in liability, including but not limited to:

• Termination of services or employment
• Legal action
• Reporting to relevant authorities

Intellectual Property Rights

Ownership: Except as otherwise agreed, the artist retains ownership of all intellectual property rights in and to their work, including copyrights, trademarks, and trade secrets.

License Grant: The artist grants Trendsville Productions Limited a non-exclusive, royalty-free license to use, reproduce, distribute, and display their work for promotional purposes.

Credit and Attribution: Trendsville Productions Limited shall provide proper credit and attribution when using or displaying work.

No Derivative Works: Trendsville Productions Limited shall not create or distribute derivative works without prior written consent.

No Transfer Of Ownership:This clause shall not be construed as a transfer of ownership of the [Artist/Poet/Song writers/ Producers/ Music Engineer/ Animation movie writer]'s work to Trendsville Productions Limited.

Indemnification:[Artist/Poet/Song writers/Producers/Music Engineer/Animation movie writer] shall indemnify and hold harmless, Trendsville Productions Limited, against any claims, damages, or expenses arising from any infringement or alleged infringement of third-party intellectual property right.

The following disclaimer applies to all users, visitors, and customers:

We make no guarantees or promises regarding the success or outcome of any project or work showcased on our platform. Users understand and acknowledge that success in the creative industry depends on various factors, including talent, hard work, and luck.

We shall not be liable for any losses, damages, or expenses arising from:

• The use of our platform
• The content of any works showcased on our platform
• Any decisions made by users based on information provided on our platform
• Any unauthorized use or reproduction of works showcased on our platform

We make no warranties, express or implied, regarding the quality, accuracy, or reliability of our services or products, including but not limited to:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Title

All services and products are provided on an "as-is" and "as-available" basis.

By using our services or products, users acknowledge that they have read, understood, and agreed to this Disclaimer of Warranty. Users are responsible for ensuring that their works comply with all applicable laws and regulations.

We reserve the right, in our sole discretion, to change or update our terms of service from time to time. Unless such a change or update is made for legal or administrative reasons, provisions for reasonable advance notice before updated terms become effective, will be made.

By using our platform, users acknowledge that they have read, understood, and agree to be bound by this disclaimer.

Governing Law

These Terms and Conditions shall be governed by the laws of the Federal Republic of Nigeria.

Any disputes shall be resolved through arbitration per the Arbitration and Conciliation Act. If arbitration fails, disputes will be submitted to the exclusive jurisdiction of the Federal High Court of Nigeria.

In the event of failure of Arbitration, the parties agree to submit to the exclusive jurisdiction of the Federal High Court of Nigeria for any disputes arising out of or related to these Terms and Conditions

Jurisdiction and Venue

The parties agree that any legal proceedings arising out of or related to these Terms and Conditions shall be brought in the Federal High Court of Nigeria.

The parties agree to waive any objections to jurisdiction and venue in the Federal High Court of Nigeria.
